Welcome to CuriousCities®!

[CuriousCities® is a members-only travel community where friends rank and recommend the top trending things to do in the world's best cities.]

By using the Services or joining CuriousCities® you acknowledge and agree to abide by:
• these Terms of Use;
• the CuriousCities® Privacy Policy; and
• the CuriousCities® [Rules of Engagement / Community Code], (collectively “the Conditions”?).

Summary of Key Terms:
• You must be over the age of 16 to use the Services;
• You allow us to use and display content you post;
• We allow you to use the Services;
• You will not use or copy content posted by other members;
• The don’t permit businesses to join and only individuals;
• We may change these Conditions or the Services at any time;
• The Services are not open to the public but you may invite your friends to join;
• We do not monitor content posted to the Services so if you rely on it then you do so at your own risk.

1 These Terms

1.1 In these terms we use the following words and phrases as follows:
“We”?, “us”?, “CuriousCities®”?, “our”? means CuriousCities Ltd a UK registered company with company number 07817157, and where relevant includes any of its affiliated companies which may provide aspects of the Services.
“You”? means “you”? the relevant registered or prospective member of the Service.
“User Content”? means any material or content that you or another member posts onto the Services, this includes images, text, commentary and the content included in any direct messages.
“Our Content”? means any material or content that we post onto the Services, this includes images, text, commentary and the content.
“Service”? means the social network and media travel platform operated by us or our affiliates, which is available at www.curiouscities.com or any other address we might choose in the future and includes any app that we may make available which provides access to the platform.
“member”? a person who has registered on the Services.

1.2 Acceptance: You must make sure that you have read, understood and accept the Conditions. Your use of the Services and membership of CuriousCities is subject to, and you agree to abide by, the Conditions.

1.3 Ch-Ch-Changes:
(a) We may amend, supplement or add to the Conditions and/or the Services at any time and for any reason without advance notice to you; your continued use of the Services shall constitute your acceptance of any such changes.
(b) If we make significant or important changes to the Conditions or the Services we may endeavour to bring these to your attention, however it is your responsibility to regularly check the Conditions to ensure you comply with them.
(c) To make it easier for you to do that we will display a “last updated”? date at the top of each document.

2 Joining and being a member of CuriousCities

2.1 Being Invited: The Services are available to members only and not to the general public. In order to become a member you must have been invited by us or a current member.

2.2 No Businesses: Only individuals may join CuriousCities in a personal and non-business capacity. This does not mean that individuals who work in the travel industry may not become members, however members must not promote, list or attempt to promote or list businesses or commercial interests that they may have or are involved with.

2.3 Inviting Others:
(a) Once you are a member, you will be able to invite others to become members and to use the Services. The number of people you are entitled to invite will be limited.
(b) You must only invite real people who you actually know in the “real world”? and who are over the age of 16.
(c) You must not invite people to join who may be joining for business or commercial purposes and if you consider that any member has used, or may begin to use, the Services for commercial or business purposes then you must let us know immediately.

2.4 Just you:
(a) You must be over the age of 18 to use the Services.
(b) You may only have one membership account on the Services and you shall use your name, and not an alias, in respect of it. Your account is personal to you and you must not transfer or attempt to transfer it to any other person and you must not accept or use the account of any other person.
(c) You must keep your login details secret and confidential. If you suspect that your account or your login details have been compromised then you will notify us immediately.
(d) You are solely responsible for activity and any use of the Services made using your account.

2.5 Cost: Membership of CuriousCities is free of charge. This may not always be the case and we will let you know in advance if we introduce alternate cost/pricing models.

3 Acceptable Use

3.1 CuriousCities is a positive community. In order to keep it that way you must do, and not do, the following things:

Do

Only post truthful (including information about yourself when you register as a member, which you should keep up to date) and useful information.
Post only User Content that you own or have the right to post.
Be kind and positive.
Use the Services responsibly.
Only use your account and not try to access any other member’s account or private information.
Have fun and share your world.
Use your own name.
Abide by all applicable laws.

Don’t

Post commercial or business related content or material.
Collect or harvest information from the Services, including by the use of screen-scrappers or web-spiders (or anything similar to them).
Use the Services to do anything illegal or immoral.
Post any User Content that may mislead, cause offence, is hateful, is disrespectful, is or may be libellous or defamatory, encourage or promote the breaking of any law, is or may be considered to be indecent or pornographic.
Share or give your password or username to any other person.
Upload any malicious code or viruses.
Bully or intimidate.
Post confidential information about other people or members.
Place an unreasonable or disproportionate load on the Services.
Breach the security of or hack the Services, or permit or assist anyone else to do those things.

4 Content and Information

4.1 Licence to use: We grant you a non-transferrable, non-exclusive, revocable license to use the Services in accordance with the Conditions.

4.2 Our Content and Trade marks:
(a) We may, from time to time, post editorial content, including commentary, video and images onto the Services and advertising or sponsored content. You may not, and are not licensed, to copy or use such content other as part of your use of the Services.
(b) You may not use our trade marks (both registered and unregistered, and including our name and logo) without out our express written permission.

4.3 Your content:
(a) You grant to us a world-wide, transferable, non-exclusive, irrevocable, royalty-free, sub-licensable licence to re-produce, publish, distribute, use, modify, adapt, process and/or store any content that you post onto the Services. This includes using your User Content on our other social media accounts and as part of our PR and marketing activities.
(b) You must own or be licenced to post any User Content onto the Services and so as to be able to provide the licence in Clause

4.2(a). You represent that any of Your Content is confidential or proprietary to another party.
(c) You acknowledge that by the nature of the Services other members will be able to copy and distribute any materials or content that you post to the Services, and that the Services do not prevent materials or content being copied.
(d) In some jurisdictions authors of copyright works are granted additional rights called “moral rights”? or “author’s rights”?. Typically these are: a right of attribution (i.e. to be acknowledged as the author); a right against false attribution (i.e. to prevent someone else claiming to be the author); and/or, of integrity (i.e. to prevent others using the work in a manner damaging to your reputation as an author). To the greatest extent permitted by any relevant law, you irrevocably consent to, and/or waive you right to and release us from any claim in relation to, any use of any material or content you post to the site being used in a manner contrary to your moral rights by us, our assigns, successors and/or subcontractors, or by any other member.
(e) We encourage you to provide us with feedback about and ideas for the Services. We may or may not choose to take your feedback into consideration. If we do action or use your feedback or ideas then you agree that you shall have no claim to the intellectual property we create or for any compensation.
(f) If we receive notice from any person that they consider that your User Content infringe the rights of that or any other person (including a take-down notice under Digital Millennium Copyright Act (USA), the Digital Economy Act (UK) or any other applicable law), and/or are otherwise breach these Conditions, then we may immediately delete such materials or content from the Services or make them inaccessible.
(g) Public and Private Content: The Services allow you to designate You Content as “public”? or “private”?. Private content will only be available to other members who are your “friends”? on the Services. Public content will be available to all members. You may change the status of Your Content at any time. We will not use Your Content you mark as private for any purpose other than making available to your friends. However, if you change the status of Your Content from “public”? to “private”?, it is possible that we may have already used it for a wider purpose authorised under Clause 4.3(a) and if that happens you agree that we may continue to use that content as if it was designated as “public”?.

4.4 Content of others: You acknowledge that: (a) we not responsible, and shall have no liability to you, for content, comments and materials posted by other members; and, (b) that you will not use, copying, retransmitting and re-distributing any of content posted by other members without their express permission.

4.5 Reliance: The rating and trending functionality on the Services is purely driven by member ratings. We do not edit or promote any content through this functionality. You acknowledge that if you rely on the information on the Services, including the rating functionality, then you do so at your own risk. You acknowledge that travel, particularly to unfamiliar places, is inherently risky.

4.6 Links: The Services, including as part of the User Content, may contain links to third party websites. We do not monitor such links and/or websites. We do not endorse the content of any such websites and your use of them may be subject to their own terms and privacy policies and is entirely at your own risk.

4.7 Interactions: The Services allow you to communicate openly in forums and by posted comments or privately through direct messages with other members. We do not monitor or approve of the content of such communications and if you enter into a contract by means of such communications then we shall not be a party to that contract or deemed to have approved or endorsed it.

4.8 Advertisements and Sponsored Content: We may from time to time allow third parties to advertise or sponsor content on the Services. We do not endorse or approve the content of such advertisements or sponsored content, or any products or services advertised in them. However, we shall only permit third parties to advertise on the Services, who at the time the advertisement was made were reputable businesses, although we are under no obligation to make any level of investigations into them.

4.9 Bookings: We may from time to time provide functionality that will allow you to make bookings with or purchase goods and services from third parties. You acknowledge that any such bookings or purchases shall be directly with the third party and on their terms and conditions, and that we shall not be a party to or have any liability to you in respect of those bookings or purchases.

5 Monitoring

5.1 No Monitoring: We do not actively monitor Your Content or the content posted by other members, including the contents of any direct private messages, however we are able to administer and access all content on the Services.

5.2 Complaints: If you are unhappy about any content on the Services, suspect that there has been a breach of these Conditions by another member, that a member has misused any of Your Content then you should let us know using the “Report”? button on the Services or by emailing us [info@curiouscities.com].

7 Data Protection and Privacy Information about your use of the Services
Please review our Privacy Policy for information about what information we collect about you and how we use it.

8 Termination and Suspension

8.1 Deactivating your account: You may deactivate your account at any time by using the functionality provided in the “Profile”? section of the Services.

8.2 Reactivation termination: If you de-activate your account, we will preserve it for 30 days. In that time any of Your Content will cease to be accessible from the Services, however you may email us (info@curiouscities.com) asking for your account to be reactivated and in that case your account will be reinstated as if you never left.

8.3 Suspension: We may suspend your account and your access to the Services, if we have reason to believe or suspect that you have breached these Conditions, misused the Services or if we receive a complaint about your use of the Services from any other member.

8.4 Termination: We may terminate these Conditions, your account and/or the Services or any part of them at any time without notice to you.

9 Warranties and Liability

9.1 Warranties: We provide the Services to you strictly on an “as is”? basis.

9.2 Exclusions: To the greatest extent permitted by law:
(a) we do not promise that the Services will be continuously available, reliable, free from error, secure from unauthorised access, fit for any purpose, of merchantable quality, will not infringe the rights of any third party, accurate or complete and/or interoperable with all Internet browsers or any given device, nor are we responsible to you for the conduct of any other member; and
(b) we exclude all representations and warranties not expressly set out in these Conditions, including any terms or warranties that might otherwise be implied by law, usage or custom.

9.3 Liability:
(a) To the greatest extent permitted by law, under no circumstance shall we have any liability to you arising from, in connection with and/or in respect of the operation of and/or your use of the Services whether for breach of these Conditions, in tort, in negligence or under any other legal theory.
(b) If and to the extent sub-clause (a) above is found to be wholly or partially void, invalid or unenforceable:
(i) subject to sub-paragraph (ii), our liability to you arising from or connected with these Conditions and the Services, including in respect of negligence, shall be limited to the greater of (i) an amount equal to the fees actually paid by you to us under these Conditions in the 6 months prior to the relevant liability first arising or (ii) £10 sterling;
(ii) we shall have no liability to you in respect of loss of profits, loss of revenue, loss of business or opportunity; and/or any indirect, consequential, special and/or exemplary damages.
(c) Nothing in these Conditions does or is intended to exclude or limit liability which may not be excluded or limited at law, such as where relevant under applicable law liability for death or personal injury caused by our own negligence or for fraud.

10 General Provisions

10.1 Third party rights: A person who is not a party to these Conditions may not enforce any term of them under the Contract (Rights of Third Parties) Act 1999 (UK) or any similar or analogous law in any jurisdiction and any successor legislation to any of them. The parties may rescind or change any term of these Conditions without the consent of any person who is not a party to these Conditions.

10.2 Assignment and Subcontracting:
(a) By you: You may not assign these Conditions or assign or delegate your rights and obligations user them.
(b) By us: We may assign, novate, pledge and/or subcontract any of our rights and obligations under these terms.

10.3 Entire Agreement and Severability: These Conditions contains the entire agreement between us in relation to the Services and all other representations and terms are excluded, including those arising or implied by law, custom or any course of dealing. If and to the extent any part of these Conditions is held to be void, invalid or unenforceable then such part shall be deemed deleted and the remainder shall continue unaffected.

10.4 Force Majeure: We shall have no liability in respect of any failure or delay which arises due to any circumstance beyond our reasonable control.

10.5 Remedies and Waivers: If a party breaches these Conditions, the rights of the non-breaching party arising from that breach shall not be waived other than through the express written consent of the other and then only to the extent in that consent. Waiver of one breach oes not waive or imply the waiver of any further or other breach and shall not act as an affirmation. For example, if we continue to allow you to access and use the Service having become aware of a breach of these Conditions by you then that shall not prevent us acting on that breach or rely on our rights in respect of it at a latter time.

10.6 Law and Jurisdiction: These Conditions are governed and shall be interpreted in accordance with English law. You and we submit to the non-exclusive jurisdiction of the courts of England in relation to any dispute relating to or in connection with these Conditions and the Services, including any non-contractual disputes.

How we use your information

This privacy notice tells you what we do with information we collect about you on the service (www.curiouscities.com) or which you may add to the service about yourself.

It applies to information we collect about visitors to our websites and users of the service; whether about people who access our publicly available website (visitors) or people who join CuriousCities and use one of our private services (members).

Visitors to our websites

When someone visits www.curiouscities.com, whether a visitor or a member, we collect standard internet log information and details of their behaviour patterns.

We do this to find out things such as the number of visits to the various parts of the site and the services.

For visitors:
• we collect this information in a way which does not identify anyone;
• we do not make any attempt to find out the identities of visitors;
• we will not associate any data gathered about visitors with any personally identifying information from any source.

For members:
• Registration Information
o we collect the following information from you when you register as member:
o name;
o e-mail address;
o post code;
o date of birth;
o primary language;
o main city of residence;
o gender.
o We will use this information to identify you and to keep in contact with you – only your name and main city of residence will be displayed on the services and be available to other members.
o We also use this information to verify your identity, administer your account and to improve the Services.
o If you agree, we may use your contact information to market our or third party products or services to you. If you have agreed to receive marketing messages you can always opt-out at later time by changing your Notification Preferences.

• Content you enter onto the Services
o the services allow you to enter as much or as little information about yourself as you like, this includes text and pictures – you are in control of this information and whilst you licence it to us under the terms of use, we do not claim any ownership right in it.
o depending on how you set up your privacy preferences it will be available for other members to view;
o we will take steps to prevent search engines from indexing your content;
o if you delete information you have entered from the services it will be deleted immediately and all links to it will be deleted as well;
o if you delete your account/profile all information you have posted will be deleted immediately and links to it will be deleted as well – you will not be able to automatically reinstate your account/profile.
o We will only use this information to provide the services or in accordance with the “Terms of Use”? .

• Usage Data
o We may also collect data about the way in which you use the Services. For example, to determine which parts of the services are more popular and the types of activities that member’s undertake. Where you “like”? or provide a ranking to an establishment or activity, that information is also retain.
o We may use this data to improve the services; we will not provide it to third parties other than in an anonymised for that does not personally identify you.

• Accuracy
o We want to make sure that the information we hold about you is up to date and accurate, so please ensure that the information you posted to the services or provide to us is correct. If it changes then please ensure you update it. If you think that any information we hold about you is incorrect then let us know and we will delete or update it.
